1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Underwriters Technologies LLC ("Company," "we," "us," or "our"), a Texas limited liability company, concerning your access to and use of the Surplus Lines Insurance Reference website, API services, and related services (collectively, the "Services").

By accessing or using our Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing or using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

Surplus Lines Insurance Reference provides:

• Comprehensive surplus lines insurance tax rate information for all U.S. states and territories
• Tax and fee calculators for surplus lines transactions
• Regulatory information including stamping fees, surcharges, and filing requirements
• API access for integration with third-party systems (subject to separate agreement)
• Educational resources regarding surplus lines insurance compliance

3. Payment Terms

3.1 Billing Structure

For paid services, our billing operates on a subscription basis:

• Monthly/Annual Plans: Billed in advance on a recurring basis
• API Usage: May include usage-based pricing as specified in your service agreement
• Overage Charges: Additional fees apply for usage exceeding plan limits
• Price Changes: We reserve the right to modify pricing with 30 days' notice

3.2 Free Services

Basic access to tax rate information and calculators is provided free of charge. We reserve the right to modify or discontinue free services at any time without notice.

4. Service Termination and Refunds

No Refund Policy: All payments are non-refundable. Upon termination of paid services:

• No refunds will be issued for any unused portion of the subscription period
• Access to paid features will continue until the end of the current billing period
• Data export options may be available for a limited time after termination

5. Acceptable Use Policy

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers
• Circumvent any access restrictions or usage limits
• Scrape, harvest, or collect data through automated means without permission
• Resell or redistribute our data without written authorization
• Use the Services to transmit harmful code or malware
• Impersonate any person or entity

6. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, data compilations, and software, are the exclusive property of Underwriters Technologies LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from our Services without our express written permission.

7. Data Accuracy and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

While we strive to maintain accurate and up-to-date information, we make no representations or warranties about the completeness, accuracy, reliability, suitability, or availability of the Services or the information contained therein. Tax rates and regulations change frequently, and users must verify current requirements with appropriate authorities.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDERWRITERS TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Underwriters Technologies LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, violation of these Terms, or violation of any rights of another party.

10. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas for all disputes arising from or relating to these Terms or the Services.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Services after any modifications constitutes acceptance of the updated Terms.

12. API/Service Usage Limits

For API and automated access:

• Rate limits apply as specified in your service agreement
• Excessive usage may result in temporary or permanent suspension
• We reserve the right to modify usage limits with notice
• Caching of data must comply with our data freshness requirements

13. Privacy

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Underwriters Technologies LLC regarding the Services and supersede all prior agreements and understandings.
